Purpose
The parties wish to explore a potential business relationship regarding Runecast, a multiplayer word-game inspired by the discontinued Discord Activity “Spellcast” (the “Project”). To enable open discussions, the parties agree to the following:
1. Confidential Information
“Confidential Information” means any non-public information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”), including but not limited to:
- Game design documents, source code, builds, art, mechanics, monetization plans
- Financial projections, pitch decks, marketing plans
- This document itself
It does not include information that:
(a) is already public,
(b) the Receiving Party already lawfully knew,
(c) is independently developed, or
(d) is received from a third party without restriction.
2. Non-Disclosure & Non-Use
For 3 years from the date above, the Receiving Party agrees:
- To keep all Confidential Information strictly confidential
- Not to use it except to evaluate the potential collaboration
- To share it only with employees/agents who need to know and are bound by similar confidentiality
3. No Obligation to Proceed
This letter does not obligate either party to enter into any transaction or further agreement. Either party may end discussions at any time without liability.
4. Intent to Explore Collaboration
Subject to the above, both parties express a good-faith intent to discuss possible collaboration opportunities such as (check all that apply):

5. Governing Law
This agreement is governed by the laws of United States of America without regard to conflict of law principles.
6. Entire Agreement
This short document is the full agreement on confidentiality and intent; it can only be changed in writing signed by both parties.
